CONFIDENTIALITY AND DISCLOSURE

​1. Definition of Confidential Information

 

“Confidential Information” includes all technical and business information, whether written or oral, relating to the project, including but not limited to: proprietary software code, motion control logic, electrical schematics, mechanical designs, pricing, and specific production processes.

2. Mutual Obligations Both Align Automation and the Client agree to:

​

• Maintain the strict confidentiality of the other party’s Information.

• Use such Information solely for the purposes of completing and maintaining the project.

• Prevent unauthorised disclosure to third parties without prior written consent.

 

3. Protection of Trade Secrets

 

The Client acknowledges that the specific methodologies and control logic used by Align Automation in the implementation of [e.g., Stewart Platforms and DCS architecture] constitute valuable trade secrets. The Client agrees to restrict access to such Information to only those employees or contractors necessary for the operation of the equipment.

 

4. Exclusions Confidentiality obligations do not apply to information that:

• Is or becomes public knowledge through no fault of the receiving party.

• Was already in the receiving party’s possession prior to the project.

• Is required to be disclosed by law or regulatory authority (e.g., NZ health and safety audits).

 

5. Survival of Agreement

 

The obligations of confidentiality shall remain in effect for a period of [e.g., 3 or 5] years following the completion of the project or the termination of this agreement.
